1. Eligibility: The Network in NYC Sweepstakes is open only to current legal residents of 49 states of the U.S. (Rhode Island is excluded) and D.C., who are physically located and residing therein, who are 13 years of age or older as of the date of entry and who are registered members of the Spider-Man Movie Network ("SMMN";). Residents of the state of Rhode Island are not eligible to enter this sweepstakes. Employees, officers, and directors of Hilltop New Media, Inc. ("Sponsor"), Sony Pictures Digital Inc., Sony Pictures Entertainment Inc., Sweepstakes Administrator, each of the entities' parent companies, affiliates, subsidiaries and other related entities, each of the entities' respective prize suppliers, authorized designees, any other individual or entity associated with this sweepstakes ("Sweepstakes Entities"), members of their immediate families (spouses, children, siblings, parents), and/or persons living in the same household as such persons, whether or not related, are ineligible to enter this Sweepstakes.
   
   
2. Sweepstakes Description: This sweepstakes begins at 10:00:00 a.m. Pacific Time ("PT") on April 2, 2007, and ends at 9:59:59 a.m. PT on April 23, 2007 ("Sweepstakes Period"). The sweepstakes consists of fifteen (15) individual non-connective daily sweepstakes; each individual daily sweepstakes begins at 10:00:00 a.m. PT, and ends at 9:59:59 a.m. PT the immediately following day (except for the Friday individual daily sweepstakes which ends at 9:59:59 a.m. PT the immediately following Monday). Sponsor shall control the official clock (based on Pacific Time) for all purposes of the sweepstakes. SMMN members will be asked to login to the SMMN web site located at http://spiderman.sonypictures.com/network ("Web Site") and complete the daily (Monday - Friday) assignment(s) to access the sweepstakes entry form to enter the sweepstakes. A different assignment will be posted for each individual daily sweepstakes.
   



3. How to Enter: You must be registered with the SMMN to participant and enter this sweepstakes. If you are already a SMMN member, login to the Web Site and click on the sweepstakes banner which will take you to the sweepstakes home page. On the home page will be the current daily assignment. Complete the daily assignment to find the Spider-Man icon ("Icon"). You can also go straight to the Icon by clicking on the "Click here to see Today's Hint" textlink right under the daily assignment. Click on the Icon to reach the sweepstakes entry form. Then, to enter, a given individual daily sweepstakes follow the online instructions to complete and submit the sweepstakes entry form ("Entry"). Information required on the entry form consists of your First Name, Last Name, Email Address used to login to the SMMN Web Site, Home Address (no P.O. Boxes), City, State, Zip Code, Phone Number (including area code where you can be reached between 2:00 p.m. and 4:00 p.m. daily), Date of Birth, and Gender (collectively "Entry Information"). All Entry Information must be completed in full. Entries for a particular individual daily sweepstakes must be received between 10:00:00 a.m. PT on the start date of that particular individual daily sweepstakes and 9:59:59 a.m. PT the immediately following day (except for the Friday individual daily sweepstakes which ends at 9:59:59 a.m. PT the immediately following Monday). Limit one (1) Entry per person/email address per individual daily sweepstakes (three (3) per person/email address for the Friday individual daily sweepstakes which covers three (3) days). Multiple Entries submitted by the same person in excess of the above limits will be disqualified. If you are NOT already a SMMN member, register for free to become a member by accessing the Web Site and following the online instructions to complete and submit the SMMN registration form. Information required on the registration form consists of your choice of Spider-Man Movie Network Screen Name ("Screen Name"), Full Name, Email Address, your choice of Password, Date of Birth, and Zip Code (collectively "Registration Information"). All Registration Information must be completed in full. Participants can only participate in the sweepstakes under one (1) Screen Name and/or one (1) email address. Once an email address or a Screen Name has been registered by a participant, that email address or Screen Name cannot be used by any other person at the Web Site. Only the participant registered under a particular email address may enter the sweepstakes. Proof of delivery or receipt of Entry(s) or SMMN registration will not be deemed by Sponsor as proof of entry or registration. Any attempted form of entry into this sweepstakes other than as described herein is void.
   
   
4. Prizes/Odds of Winning. Fifteen (15) Individual Daily Sweepstakes Grand Prizes: Each winner will receive a trip be shared with one (1) guest to NY, NY for the opportunity to attend the Spider-Man 3 premiere in New York on April 30, 2007 ("Premiere"). Trip consists of: roundtrip economy class air transportation from a major commercial airport (as determined by prize supplier, in its sole discretion) near such winners' residence within one of the 49 eligible states of the U.S. (RI excluded) or D.C. to NY, NY; standard hotel accommodations for two (2) nights (single room, double occupancy); ground transportation to and from the airport and hotel in NY, NY (this specific portion of the prize only will be awarded as a $150.00 MasterCard, Visa or American Express gift card, no additional compensation will be awarded if ground transportation exceeds this amount); ground transportation to and from the hotel and Premiere; two (2) Spider-Man 3 T-shirts; two (2) Spider-Man 3 Hats; two (2) Spider-Man Buttons; two (2) Spider-Man Web Shooter Wristbands; two (2) Spider-Man Sand Art Kits; and admission for winner and one (1) guest to the Premiere on April 30, 2007. Approximate Retail Value ("ARV") of each Individual Daily Sweepstakes Grand Prize is $2,000.00. Odds of winning a prize depends on the total number of eligible Entries received for that particular individual daily sweepstakes. EACH WINNER AND GUEST MUST BE ABLE TO TAKE TRIP DEPARTING ON APRIL 29, 2007 AND RETURNING ON MAY 1, 2007 (OR ON OTHER DATES AND TIMES SPECIFIED BY SPONSOR AT ITS SOLE DISCRETION) OR SUCH WINNER WILL BE DISQUALIFIED AND AN ALTERNATE POTENTIAL WINNER MAY BE SELECTED AT SPONSOR'S SOLE DISCRETION. Trip is subject to air travel/hotel availability, and other restrictions/conditions. Each winner and his/her respective guest must take air travel on same travel itinerary. Once trip dates have been booked, no change, extension or substitution of trip dates is permitted, except at Sponsor's sole discretion. Each winner and his/her respective guest are solely responsible for all unspecified incidentals, including, but not limited to, any and all unspecified ground transportation, meals, drinks, gratuities, phone calls, insurance, taxes, and any other expenses not specifically mentioned as being included. Each winner and his/her respective guest are solely responsible for providing and holding all necessary and required travel documents (identification, booking information, etc.). Air transportation will not be provided if a winner lives within 100 miles of NY, NY and no additional or substitute compensation will be provided in lieu thereof. If a winner elects to travel without a guest, no additional compensation will be awarded. If a winner forfeits any portion of the prize (except the option to bring a guest), such winner will forfeit prize in its entirety. If a winner is a resident of a jurisdiction that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian, and such person must accompany the winner as the travel guest. Travel guest must be at least 13 years of age or older as time of departure, and if travel guest is a resident of a jurisdiction that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian, and such person must be a winner. If Premiere is cancelled or postponed during winners' trip for any reason, Premiere portion of prize (as applicable) will be forfeited and no additional or substitute compensation will be provided in lieu thereof. If Premiere is cancelled or postponed prior to booking, each winner will have six (6) months from date of notification of winning to take trip without the Premiere portion of the prize and must give at least 30 days advance notice of selected travel date. Gift cards subject to stated terms and conditions. No substitution, transfer, or cash equivalent for a prize (or prize component), except that Sponsor reserves the right, at its sole discretion, to substitute for a prize (or prize component), a prize (or prize component) of equal or greater value for any reason including, without limitation, prize unavailability. Any depictions of the prize are for illustration purposes only. Prize itinerary and notifications will be shipped to street addresses within the 49 eligible states of the U.S. (RI is excluded) and D.C. only. All federal, state, or other taxes are the sole responsibility of winners. Each winner will receive an IRS Form 1099 for the year in which the prize is awarded from the Sweepstakes Administrator for the ARV noted in these Official Rules. Limit one (1) prize per person/family/household.
   
   
5. Drawing and Notification of Winners: For each individual daily sweepstakes, one (1) potential winner will be randomly selected from all eligible Entries received for that particular individual daily sweepstakes in a drawing conducted by sweepstakes administrator, an independent judging organization. Each individual daily sweepstakes drawing will be held on the day that particular individual daily sweepstakes ended. Nonwinning eligible Entries will not be retained for subsequent individual daily sweepstakes drawings. The Screen Name (or, if SMMN member does not have a Screen Name, his/her first name and last initial), city, and state of the potential winners will be posted on the Web Site. Each potential winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) will be notified by telephone of his/her potential winner status between 2:00 p.m. and 4:00 p.m. PT on the day that particular individual daily sweepstakes ended. If a potential winner (his/her parent/legal guardian if a potential winner is a resident of a jurisdiction that deems him/her to be a minor), cannot be reached after a reasonable effort has been exerted, if he/she is found to be ineligible, if he/she cannot or does not comply with these Official Rules, and/or if his/her prize or prize notification is returned as undeliverable, such potential winner will be disqualified, and an alternate potential winner for that particular individual daily sweepstakes will be selected at Sponsor's sole discretion.
   
   
6. General Conditions
This sweepstakes is subject to these Official Rules and all federal, state and local laws and regulations (collectively "Rules and Laws"). Each potential winner will be required to sign and return (by fax) an Affidavit of Eligibility, a Liability Release, a Publicity Release (where legal), a copy of his/her Government issued photo identification and any other documentation that Sweepstakes Administrator and/or Sponsor may require (collectively "Affidavit/Release") within one (1) day after receipt or such potential winner may be disqualified and an alternate potential winner may be selected. If a winner is a resident of a jurisdiction that deems him/her to be a minor, prize may be awarded in the name of his/her parent/legal guardian, who must sign an Affidavit/Release on his/her behalf. Winner's Guest (or guest's parent/legal guardian, if he/she is a resident of a jurisdiction that deems him/her to be a minor) will be required to execute and return (by fax) a Liability Release, a Publicity Release ("Travel Guest Release"), a copy of his/her government issued photo identification and any other documentation that Sponsor may require within one (1) day of receipt of these documents by such potential winner. A fax copy of the winner's Affidavit/Release and corresponding Travel Guest Release may be requested in addition to the original Affidavit/Release and corresponding Travel Guest Release. Sweepstakes Administrator will require receipt of the original executed Affidavit/Release and Travel Guest Release, within three (3) days of the date of receipt by such winner. Once submitted, Entries become the sole property of Sponsor and will not be returned. Notwithstanding anything to the contrary in Sponsor's privacy policy located at http://www.sonypictures.com/corp/privacy.html and except where prohibited by law: (1) any Entry submitted by an entrant and/or any winners' acceptance of a prize after successfully completing an Affidavit/Release constitutes permission of such entrant and/or winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) for Sponsor to use, without notice or further compensation to entrant or any third party, worldwide, and in perpetuity, in any and all forms of media, now known and hereafter devised, including, without limitation, on the Web Site or associated Web pages, each winner's Screen Name (if applicable), name, address (city and state), photo, likeness, biographical information, statement and voice for advertising/publicity purposes without further notice to or compensation in connection with said sweepstakes or the prize awarded and (2) Sponsor has the right to modify, edit, adapt, electronically alter, use, assign and /or dispose of Entries however it sees fit and for any purpose without any notice or compensation to entrant or any third parties. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the sweepstakes (including, but not limited to, the use of automated computer programs or any non-human mechanism, entity, or device), the Web Site, or any Web page or Web banner ad related to the sweepstakes; to be acting in violation of the Official Rules, or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any person attempting to defraud or in any way tamper with the sweepstakes will be ineligible to win a prize and will be prosecuted to the full extent of the law. If, for any reason, the sweepstakes or any of the individual daily sweepstakes is not capable of running as originally planned, Sponsor, at its sole discretion, reserves the right to cancel, suspend or modify the sweepstakes or any of the individual daily sweepstakes and instruct the Sponsor to conduct the drawing(s) and award the prizes from all eligible, salvageable Entries received for a given individual daily sweepstakes or all individual daily sweepstakes prior to and/or after (as appropriate) the action taken by Sponsor or in a manner that is fair and equitable as determined by Sponsor. In case of a dispute over the identity of an entrant who submitted a winning Entry, the authorized account holder of the email address associated with that Entry will be deemed the entrant. The "authorized account holder" is deemed the natural person who is assigned to an email address by an Internet access provider, service provider or other on-line organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Said owner must comply with these Official Rules and, at Sponsor's sole discretion, may be required to provide proof of ownership of the email account.


7. Limitation of Liability: Sweepstakes Entities are not responsible or liable for Entries that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), in excess of the stated limit, or for Entries that are illegible, late, forged, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, incomplete, garbled, or otherwise not in compliance with these Official Rules, and all such Entries will be disqualified. By entering the sweepstakes, each entrant agrees and acknowledges to be bound by the Rules and Laws, as well as the decisions of the Sponsor which are final and binding in all respects; to waive any rights to claim ambiguity with the Rules and Laws, and that the sweepstakes Entities shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with: participation in the sweepstakes; typographical errors in sweepstakes promotional material; acceptance/possession, defects, and/or use/misuse of any prize (or prize component); cancellations and/or delays or any change by the air carrier(s), lodging facilities, or other company or any other persons providing any of components of the prizes for the winners and his/her guests due to reasons beyond Sponsor and/or sweepstakes Entities' control; any interruptions/postponement/cancellation of sweepstakes; human error; incorrect or inaccurate transcription of Entry Information; any technical malfunctions of the telephone network, computer on-line system, computer dating mechanism, computer equipment, software, or internet service provider utilized by the sweepstakes or by entrant; interruption or inability to access the sweepstakes, any sweepstakes-related Web pages, or any on-line service via the Internet due to hardware or software compatibility problems; any damage to entrant's (or any third person's) computer and/or its contents related to or resulting from any part of the sweepstakes; any lost/delayed data transmissions, omissions, interruptions, defects; and/or any other errors or malfunctions, even if caused by the negligence of any one or more of the Sweepstakes Entities. Each entrant further agrees to indemnify and hold harmless each of the Sweepstakes Entities from any and all liability resulting or arising from the sweepstakes and to release all rights to bring any claim, action or proceeding against any of the Sweepstakes Entities. Winners (their parent/legal guardians if residents of a jurisdiction that deems them to be minors) release Sweepstakes Entities from any and all liability/responsibility with respect to all prizes and/or the sweepstakes (including any property loss, damage, personal injury, or death) and hereby acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize, including express warranties provided exclusively by a prize manufacturer / supplier that are sent along with a prize. Sweepstakes Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be caused or contributed to (1) by any wrongful, negligent or unauthorized act or omission on the part of any of the Sweepstakes Entities, or any of its agents, servants, employees or independent contractors, (2) by any wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of any of the Sweepstakes Entities, or (3) by any other cause, condition or event whatsoever beyond the control of any of the Sweepstakes Entities. MasterCard, Visa, American Express and its affiliates have not offered or sponsored this sweepstakes in any way.



8. ARBITRATION; WAIVER OF INJUNCTIVE RELIEF; GOVERNING LAW: BY SUBMITTING ENTRY, ENTRANTS AGREE THAT ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THESE SWEEPSTAKES RULES, THEIR ENFORCEMENT, ARBITRABILITY OR INTERPRETATION SHALL BE SUBMITTED TO FINAL AND BINDING ARBITRATION, TO BE HELD IN LOS ANGELES, CALIFORNIA BEFORE A SINGLE ARBITRATOR, IN ACCORDANCE WITH CALIFORNIA CODE OF CIVIL PROCEDURE §§ 1280 ET SEQ. THE ARBITRATOR SHALL BE SELECTED BY MUTUAL AGREEMENT OF THE PARTIES OR, IF THE PARTIES CANNOT AGREE, THEN BY SELECTING AN ARBITRATOR FROM A LIST OF ARBITRATORS SUPPLIED BY JAMS (JUDICIAL ARBITRATION AND MEDIATION SERVICES). IF THE PARTIES STILL CANNOT AGREE ON AN ARBITRATOR, THE ARBITRATOR SHALL BE APPOINTED BY JAMS. THE ARBITRATION SHALL BE A CONFIDENTIAL PROCEEDING, CLOSED TO THE GENERAL PUBLIC. THE ARBITRATOR SHALL ISSUE A WRITTEN OPINION STATING THE ESSENTIAL FINDINGS AND CONCLUSIONS UPON WHICH THE ARBITRATOR'S AWARD IS BASED. THE PARTIES WILL SHARE EQUALLY IN PAYMENT OF THE ARBITRATOR'S FEES AND ARBITRATION EXPENSES AND ANY OTHER COSTS UNIQUE TO THE ARBITRATION HEARING (RECOGNIZING THAT EACH SIDE BEARS ITS OWN DEPOSITION, WITNESS, EXPERT AND ATTORNEYS' FEES AND OTHER EXPENSES TO THE SAME EXTENT AS IF THE MATTER WERE BEING HEARD IN COURT). NOTWITHSTANDING THE FOREGOING, THE ARBITRATOR MAY REQUIRE THAT SUCH FEES BE BORNE IN SUCH OTHER MANNER AS THE ARBITRATOR DETERMINES IS REQUIRED IN ORDER FOR THIS ARBITRATION CLAUSE TO BE ENFORCEABLE UNDER APPLICABLE LAW.
   
   ENTRANTS FURTHER UNDERSTAND AND AGREE THAT THEY SHALL HAVE NO RIGHT TO ENJOIN OR RESTRAIN THE DEVELOPMENT, PRODUCTION, ADVERTISING, PROMOTION, DISTRIBUTION OR EXPLOITATION OF THE SWEEPSTAKES, OR ANY MOVIE, PRODUCTION OR PROJECT OF SPONSOR OR OF ANY OF ITS PARENTS, SUBSIDIARIES OR AFFILIATES.
   
   ENTRANTS ACKNOWLEDGE THAT THE INTERNAL SUBSTANTIVE LAWS (AS DISTINGUISHED FROM THE CHOICE OF LAW RULES) OF THE STATE OF CALIFORNIA AND THE UNITED STATES OF AMERICA APPLICABLE TO CONTRACTS MADE AND PERFORMED ENTIRELY IN CALIFORNIA SHALL GOVERN THE VALIDITY AND INTERPRETATION OF THESE SWEEPSTAKES RULES AND ALL OTHER CAUSES OF ACTION (WHETHER SOUNDING IN CONTRACT OR IN TORT) ARISING OUT OF OR RELATING TO THESE SWEEPSTAKES RULES.



9. Rules/Winners List: For a copy of these Official Rules or the Winners List, send a self-addressed, stamped envelope to: Network in NYC Sweepstakes Rules/Winners List (specify which), P.O. Box 6452, Burbank, CA 91510. All requests must be received by June 25, 2007. These Official Rules will also be available on the Web Site during the Sweepstakes Period.
